GENERAL CONDITIONS OF SALE

(Effective from 01/01/2025 until 12/31/2025)

Clause No. 1: Purpose

The general conditions of sale described below detail the rights and obligations of the company NYC PREMIUM AUCTIONS and its client in the context of the sale of the following goods: Works of art, jewelry, watches, carpets, wines and spirits, leather goods, fashion accessories, etc.

Any service provided by NYC PREMIUM AUCTIONS therefore implies the buyer's unreserved acceptance of these general conditions of sale.

Clause No. 2: Price and Auction Fees

NYC PREMIUM AUCTIONS acts as an intermediary for its depositors (individuals, companies, associations, etc.).

It carries out sales as a digital sales operator on sales platforms (Invaluable, Interenchères, Auction.fr, etc.) and in this capacity it is remunerated at 23, 28 or 33% of the amount of the winning bid.

Bidders will therefore have to pay the following sales fees in addition to their bids:

0-9999€: 33%

10000-99999 : 28%

100,000 and above: 23%

Clause No. 3: Discounts and rebates

No discount or rebate will be granted in the event of early payment.

Clause No. 4: Discount

No discount will be granted for early payment.

Clause No. 5: Payment terms

The settlement of auctions is made without delay:

Either by bank card (debit cards, Visa, Mastercard, American Express); Or by Paypal, Applepay, Gpay.

Either by transfer

When registering the sale, the buyer must pay in full.

Clause No. 6: Late payment

In the event of total or partial non-payment of the goods after 30 days following the closing of the auction, the buyer must pay NYC PREMIUM AUCTIONS a late payment penalty equal to three times the legal interest rate.

The legal interest rate used is that in force on the day of the auction.

This penalty is calculated on the amount including tax of the sum remaining due, and runs from the due date of the price without any prior formal notice being necessary.

In addition to late payment compensation, any sum, including the deposit, not paid on its due date will automatically result in the payment of a fixed compensation due for recovery costs.

In the event of termination of the sale, all sums received by the seller must be returned to NYC PREMIUM AUCTIONS.

Clause No. 7: Termination clause

If within fifteen days following the implementation of the "Late Payment" clause, the buyer has not paid the remaining amounts due, the sale will be automatically cancelled and may give rise to the allocation of damages to the benefit of NYC PREMIUM AUCTIONS.

The buyer will remain liable for the auction fees, i.e. 33%, 28% or 23% of the auction amount depending on the initial amount.

In the event of termination of the sale, all sums received by the seller must be returned to NYC PREMIUM AUCTIONS.

A bid is firm and final. Under no circumstances may a buyer request cancellation of their bid except in cases of force majeure at the discretion of NYC PREMIUM AUCTIONS.

If management agrees, the buyer who withdraws from a "chrono" type auction will remain liable for the auction fees (variable depending on the broadcasting platform)

Clause No. 8: Retention of title clause

Absolute Auction retains ownership of the goods sold on behalf of the depositor until full payment of the price, in principal and accessories. As such, if the buyer is subject to receivership or liquidation, Absolute Auction reserves the right to claim, within the framework of the collective procedure, the goods sold and remaining unpaid.

Clause No. 9: Delivery

Delivery is made:

Either by direct delivery of the goods to the buyer;

Either by sending a notice of availability to our premises to the attention of the buyer;

Either at the place indicated by the buyer on the sales slip.

The delivery time indicated when registering the sale is given for information purposes only and is in no way guaranteed.

Consequently, any reasonable delay in the delivery of the products may not give rise to the buyer's benefit:

The allocation of damages; Cancellation of the sale.

The risk of transport is borne entirely by the buyer.

In the event of missing or damaged goods during transport, the buyer must make all necessary reservations on the order form upon receipt of said goods. These reservations must also be confirmed in writing within five days of delivery, by registered letter with acknowledgment of receipt.

The buyer has 15 working days to arrange for the collection of their lots or their shipment.

Beyond this, the buyer will bear storage costs calculated on the volumetric weight of the goods.

After a period of 6 calendar months following the sale, and in the absence of payment of transport and/or storage costs, the sale will be automatically cancelled, resulting in the deduction of costs (storage costs and others) from the amount of the auction and 100% of the sale costs as damages. The balance will be returned by bank transfer.

In the event of termination of the sale, all sums received by the seller must be returned to NYC PREMIUM AUCTIONS.

Clause No. 10: Emergency

NYC PREMIUM AUCTIONS shall not be held liable if the non-performance or delay in the performance of any of its obligations described in these general terms and conditions of sale results from a case of force majeure. In this respect, force majeure means any external, unforeseeable, and irresistible event.

Clause No. 11: Competent Court

Any dispute relating to the interpretation and execution of these general conditions of sale is subject to American law.

In the absence of an amicable resolution, the dispute will be brought before the Commercial Court of the State of New York.

Clause No. 12: Bailiff's office

As part of its legal obligations, NYC PREMIUM AUCTIONS will appoint a bailiff's office at its discretion and according to the availability of each office.
